Master Terms & conditions

We believe good business is built on trust, transparency and shared purpose. This agreement is written to be read, not just filed. It covers both our consulting services and our SaaS Toolkit, in one place.

How you agree to these terms

These terms form a binding agreement in one of two ways:

Consulting clients: by accepting a quote from SDG Align (by email, countersignature or written confirmation), you agree to these Master Terms and Schedule A.

Toolkit users: by creating an account or accessing the SDG Align Toolkit at toolkit.sdgalign.com.au, you agree to these Master Terms and Schedule B.

The current version of this agreement is always available at sdgalign.com.au/terms-and-conditions

This agreement has two parts:

  • Master Terms: shared conditions that apply across everything we do together
  • Schedule A: Consulting & strategy services
  • Schedule B: SDG Align Toolkit (SaaS)

If anything in a Schedule conflicts with the Master Terms, the Schedule takes precedence for that service.


Master Terms

1. Who we are & how this works

SDG Align Pty Ltd (ABN 34 645 295 361) provides sustainability strategy, SDG and circular economy services, and the SDG Align Toolkit platform. When we say ‘SDG Align’, ‘we’ or ‘us’, that’s us. When we say ‘you’ or ‘the Client’, that’s you.

By accepting a quote or accessing our platform, you agree to these terms. Specific services are detailed in the Schedules below.

2. Our commitment to you

We show up with skill, integrity and care. That means:

  • Delivering work to the best of our knowledge and expertise
  • Working with people (staff, contractors, collaborators) who meet the same standard
  • Being honest when something isn’t working, and fixing our mistakes at our own cost
  • Carrying appropriate insurance throughout our engagement
  • Notifying you promptly if anything beyond our control affects our ability to deliver

We are a purpose-driven organisation. Our commitments in this agreement reflect how we actually operate, not just what we’re legally required to say.

3. Confidentiality

What’s shared in confidence, stays in confidence. Both parties agree to:

  • Keep the other’s confidential information secure and private
  • Use it only to deliver on this agreement
  • Share it only with people who need it, and who are bound by the same obligation
  • Tell the other immediately if there’s any suspected or actual breach

Confidential information doesn’t include anything that’s publicly available, independently known, or required by law to disclose.

4. Intellectual property

Your materials, data and content remain yours. What we bring (our frameworks, tools, methodologies and pre-existing IP) remains ours. What we build together, we’ll agree on in writing upfront.

Using our services or platform does not transfer any SDG Align IP to you.

5. Privacy

We handle personal information in accordance with the Privacy Act 1988 (Cth) and all Australian Privacy Principles. We don’t sell data. We don’t misuse it. We treat your data the way we’d want ours treated.

6. Fees & payment

Fees are set out in your quote or order. All fees are exclusive of GST, which is added where applicable. Payment is due within 14 days of a correctly rendered invoice unless otherwise agreed in writing.

If an invoice has an error, before or after payment, we’ll sort it through correction or offset. No drama.

If payment isn’t received within 14 days, we reserve the right to suspend services or access. We’d always prefer to have a conversation first.

7. Indemnity & liability

Both parties agree to indemnify each other against losses caused by their own breach of this agreement, negligence or wilful misconduct.

Except for liability that cannot be excluded or limited by law (including under the Australian Consumer Law), or liability for death, personal injury, fraud or wilful misconduct, each party’s total liability to the other under this agreement is capped at the greater of: the total fees you’ve paid us in the 12 months before the event giving rise to the claim, or the amount we are able to recover under our insurance policies then in force.

We carry professional indemnity, public liability and management liability insurance appropriate to our business, and keep it current throughout our engagement with you.

8. Ending the agreement

Either party can end this agreement with 30 days’ written notice.

You can end it immediately if we breach a material term and don’t fix it within 14 days of written notice, or if we become insolvent.

We can end it immediately if you breach a material term and don’t fix it within 7 days of written notice, if you become insolvent, or if fees remain unpaid.

9. Disputes

If something goes wrong, we’ll talk first. If we can’t resolve it between ourselves, we’ll go to mediation with a jointly agreed independent mediator. Costs are shared equally. We’d rather resolve things constructively than escalate.

10. Updates to these terms

We may update these terms from time to time. We’ll notify existing clients of material changes with at least 14 days’ notice. The version and effective date are shown on the cover page. Continued use of our services after an update takes effect means you accept the revised terms.

11. General

Governing law: New South Wales, Australia.

Amendments: Any changes specific to your engagement must be agreed in writing by both parties.

Assignment: Neither party can transfer this agreement without written consent from the other.

No partnership: Working together doesn’t make us partners, agents or employees of each other.

Notices: Written notice can be delivered by hand, post or email to the addresses on your quote or account.

Severability: If any clause is unenforceable, the rest still stands.

Entire agreement: This document, including Schedules and your accepted quote or account registration, is the full agreement between us.

Waiver: Not enforcing a right at one point doesn’t mean we’ve given it up.

Force majeure: If circumstances beyond our control prevent delivery, the agreement pauses for that period. We’ll notify you promptly and resume as soon as possible.

Schedule AConsulting & strategy services

This Schedule applies when SDG Align is engaged to deliver consulting, strategy, facilitation, research or advisory services. It operates alongside the Master Terms above.

How you accept Schedule A: by accepting a quote from SDG Align in writing, including by email reply or countersigned quote, you agree to the Master Terms and this Schedule for that engagement.

A1. Scope of services

The specific services, deliverables, timelines and fees for each engagement are set out in the quote or statement of work. That document forms part of this agreement.

Any changes to scope must be agreed in writing by both parties before work proceeds.

A2. How we work

We bring our full expertise to every engagement. We’ll tell you honestly if we think an approach won’t work, and suggest a better one. We expect the same directness from you.

A good engagement is a partnership. We ask that you:

  • Engage in good faith and respond to reasonable requests in a timely way
  • Provide accurate information we need to do our work well
  • Notify us within 14 days if you believe an invoice is incorrect
  • Let us know promptly if you identify a defect in our work: we’ll fix it at no cost

A3. Term & renewal

Unless otherwise specified in your quote, consulting engagements run for an initial 12-month term and automatically renew annually. Either party can cancel at the end of any term with 30 days’ written notice.

A4. Errors & remedies

If you identify a defect in our work, let us know in writing. We’ll remedy it at our own cost. We’d rather get it right than lose your trust.

Schedule BSDG Align Toolkit (SaaS)

This Schedule applies to your use of the SDG Align Toolkit at toolkit.sdgalign.com.au. It operates alongside the Master Terms above.

How you accept Schedule B: by creating an account or accessing the Toolkit, you agree to the Master Terms and this Schedule. We record the date and version of the terms you accepted at sign-up.

B1. What the Toolkit is

The SDG Align Toolkit is our SaaS platform that helps organisations measure, align and act on the Sustainable Development Goals and circular economy principles. Access is provided on a subscription basis.

B2. Your licence

We give you a limited, non-exclusive, non-transferable licence to access and use the Toolkit for your internal business purposes.

Please don’t:

  • Modify, copy or create derivative works from the Toolkit
  • Reverse engineer or decompile any part of it
  • Rent, lease or sublicense access to others
  • Remove any SDG Align branding or proprietary notices

Everything not explicitly granted here remains ours.

B3. Data on the Toolkit

Your project data is yours. Assessments, dashboards, reports and anything else you create in your workspace belong to you and are never visible to other customers.

The Global Organisation Directory is shared, by design. SDG Align operates a directory of organisation reference data (legal name, ABN, status and address, industry classification, and sustainability signals) used across all our customers, so maturity assessments can be benchmarked against a consistent national picture rather than assessed from scratch for every engagement. This reference data is drawn from public sources, including government business registers and an organisation’s own public web presence, business profiles and published reports. SDG Align owns and operates the Directory; you receive a licence to use it, not exclusive ownership of any record in it.

We will not share your project data with third parties without your written consent, except as described in our Privacy Policy at sdgalign.com.au/privacy-policy

B4. Fees & access

Subscription fees are set out in your quote or selected plan. All fees exclude GST. Payment is accepted by credit card or invoice (14-day terms). If payment is overdue, we may suspend access until the account is settled.

Payments are non-refundable unless stated otherwise at sdgalign.com.au/terms-and-conditions

B5. Suspension

We may suspend access immediately, without prior notice, if we have reasonable grounds to believe there’s been a serious breach of these terms or fraudulent activity on your account. We’ll notify you as soon as practicable. We won’t be liable for losses resulting from a good-faith suspension.

B6. Platform updates

We do our best to keep the Toolkit reliable, useful and current. We’re not obligated to provide specific future versions, but we’re committed to building something that works for you.
